General terms
The tools and document bases of the Intellectual Property and Technology Transfer Toolbox have been commissioned by the Ettevõtluse ja Innovatsiooni Sihtasutus (EIS), and prepared in cooperation with EIS, KPMG Law OÜ, BIT Systems OÜ and Estonian experts in IP and technology transfer.
The user of the below-mentioned memorandum of understanding, deeds or contracts should always bear in mind that the prepared memorandum can only be the starting point for the conclusion of a specific agreement, deed or contract. They are indicative and should always be adapted to the circumstances of the specific situation.
For example, the drafting of an agreement, deed or contract may raise a number of specific and complex issues which cannot be taken into account in the basis. Please note that the responsibility for the correctness, appropriateness, completeness and consequences of any agreement, deed or contract drafted on the basis of these tools rests entirely with the user of these tools.
Within the documents, there are commentaries designed to make the documents clearer and easier to use, and to clarify points for discussion. The places where you need to make a selection or enter your details are marked in grey. After agreeing to the terms and before signing the contract, delete the comments and remove the grey background. Feel free to modify the contract according to your needs and agreements.
